1. Acceptance of Terms
By creating an account, using the Mqora platform ("the Service"), integrating via API, or installing the Shopify app, you ("the Merchant", "you") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.
If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.
2. Service Description
Mqora is a retail intelligence platform that analyzes receipt and transaction data to:
- Discover product relationships using K-Nearest Neighbors (KNN) and association rule mining
- Recommend optimal product arrangement for physical shelves and e-commerce storefronts
- Provide sales analytics including top sellers, category performance, and product velocity
- Generate basket recommendations and cross-sell suggestions
- Offer premium cross-merchant industry insights for subscribed users
3. Account Registration
- You must provide accurate and complete information when registering
- You are responsible for maintaining the security of your API key. Do not share it publicly
- You must be at least 18 years old and have legal authority to enter into these Terms
- One account per business entity. Multiple store locations can be managed under one Enterprise account
4. Data Ownership & Usage Rights
You own your data. Mqora does not claim ownership of your receipt data, product information, or transaction records. You grant Mqora a limited, non-exclusive license to process your data solely for the purpose of providing the Service.
- You retain full ownership of all uploaded data at all times
- You can export your data at any time via the CSV export endpoints
- You can request permanent deletion of your data at any time
- Mqora may use anonymized, aggregated patterns to improve its models and provide cross-merchant insights to premium users (see Section 5)
5. Data Collection & Premium Insights
- What is collected: Aggregated co-occurrence statistics, association rule patterns, and category affinity trends
- What is NOT collected: Individual customer data, store identity, pricing information, or personally identifiable information
- Opt-out: You can disable cross-merchant data sharing in your account settings while retaining your individual analytics
- Free tier users: Your data is never included in cross-merchant insights — only your own analytics are computed
6. Privacy
Our privacy practices are described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
7. Subscription & Billing
- Free Tier: Up to 50,000 receipts per month, basic features, no credit card required
- Pro Tier ($49/month): Up to 500,000 receipts, full features including Shopify integration, continuous learning, and premium insights
- Enterprise Tier (custom pricing): Unlimited receipts, multi-location, custom integrations, SLA
- Subscription fees are billed in advance on a monthly or annual basis
- If you exceed your tier's receipt limit, you will be notified to upgrade. Service continues but new receipts will not be processed until upgrade or next billing cycle
- Prices may change with 30 days' notice. Existing subscribers keep their current rate until the next renewal cycle
8. Refund Policy
- Monthly subscriptions: You can cancel anytime. Cancellation takes effect at the end of the current billing period. No partial refunds for unused days
- Annual subscriptions: If you cancel within the first 14 days, you receive a full refund. After 14 days, refunds are pro-rated based on unused full months
- Enterprise contracts: Governed by the terms of your individual service agreement
- Implementation/consulting fees: Non-refundable once work has begun
9. Merchant Responsibilities
- You are responsible for the accuracy of the data you upload
- You are responsible for implementing the arrangement recommendations in your store. Mqora provides suggestions, not mandatory instructions
- You must comply with all applicable laws, including consumer protection, data privacy (GDPR, CCPA), and tax regulations
- You must not upload data that you do not have the right to share or process
- You must not use the Service to engage in price-fixing, anti-competitive behavior, or any unlawful activity
10. Prohibited Use
You may not:
- Reverse engineer, decompile, or attempt to extract the Mqora algorithm or source code
- Resell or redistribute the Service or its outputs to third parties without an Enterprise white-label license
- Use the Service to harm, defraud, or deceive consumers or other merchants
- Upload malicious, illegal, or copyrighted data you do not own
- Attempt to overload, crash, or disrupt the Service through excessive API calls or other means
- Use the cross-merchant premium insights to engage in anti-competitive behavior or price coordination
11. Intellectual Property
Mqora, including its name, logo, algorithm, software, and documentation, is the intellectual property of Mqora. These Terms do not grant you any rights to the Mqora brand, software, or underlying technology beyond the right to use the Service as described herein.
Your product data, analysis results, and exported reports remain your property. You may use them freely within your business operations.
12. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- Mqora does not warrant that the arrangement recommendations will increase sales, reduce costs, or achieve any specific business outcome
- Mqora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity
- Mqora's total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim
- Mqora is not responsible for decisions made by merchants based on the Service's output. The merchant assumes full responsibility for how recommendations are implemented
13. Indemnification
You agree to indemnify and hold harmless Mqora, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Data you upload to the Service
- Your implementation of the Service's recommendations in your store
- Violation of these Terms by you or your employees
14. Termination
- You can terminate your account at any time by contacting support@mqora.com
- Mqora may suspend or terminate your account if you violate these Terms
- Upon termination, your data is deleted within 30 days unless you request a data export first
- Provisions concerning intellectual property, limitation of liability, and indemnification survive termination
15. Dispute Resolution
- Both parties agree to attempt to resolve disputes through good-faith negotiation first
- If negotiation fails, disputes shall be resolved through binding arbitration rather than litigation in court, except for small claims matters
- Arbitration shall be conducted in accordance with the rules of a mutually agreed arbitration body
- The governing law shall be determined by the jurisdiction in which Mqora is registered as a business entity
- Class action lawsuits are waived to the maximum extent permitted by law; disputes are resolved on an individual basis
16. Changes to Terms
Mqora may update these Terms at any time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
